1. ELIGIBILITY:
- 1.1 - Each Entrant must:
- be female and aged 15 years, or over as at 1st March 2009.
- hold a valid British passport or UK/Eire citizenship.
- read the Terms & Conditions of entry and complete the information required on the entry form fully and accurately.
- 1.2 - Entrants must not:
- have any criminal conviction (save for road traffic offences not involving imprisonment)
- have been in any way involved in any illegal or immoral activities including but not limited to prostitution or use of drugs
- 1.3 - There is no upper age limit and Entrants may be single, married, divorced and may have borne children.
- 1.4 - Participation in MISS TOP MODEL UK will require Entrants to wear bikinis or lingerie.
2. BEHAVIOUR:
- 2.1 - All Entrants are required to conduct themselves in a responsible and sportsmanlike manner; and any failure by the Entrant or any Supporter to maintain a standard of behaviour and decorum acceptable to the Organisers may lead to disqualification of the Entrant and ejection of the Entrant and her Supporters from the venue at which any audition, event Final is being held.
- 2.2 - All Entrants are required to be present throughout such rehearsals, training sessions, photographic opportunities etc as the Organisers may require.
- 2.3 - Supporters (including hairdressers or make-up artists) may be permitted to accompany Entrants backstage only with the permission of the Organisers and subject to such rules as may be agreed between the Organisers and the operators of the venue at which any audition, event or final is taking place.
3. ENTRY SPONSORSHIP:
- 3.1 - A Grand Finalists Sponsor will receive the following, as part of their sponsorship;
- A vocal announcement credit by the event compere at the MISS TOP MODEL UK GRAND FINAL event.
A high-profile logo, web link and biography on the Grand Finalists personal page of the Miss Top Model UK website.
The sponsor will receive a pair of show tickets to the MISS TOP MODEL UK Grand Final. Additional tickets can be purchased and all show tickets can be upgraded to VIP for a small additional charge.
The Sponsored model will receive a branded t-shirt and any other such Miss Top Model UK merchandise that may be available, from the event organisers, for use before, during and after the MISS TOP MODEL UK Grand Final event. In addition, general guidance, catwalk and show training will be given.
- 3.2 - Payment of the Sponsorship will only become due at the time of an entrant being accepted as a short-listed Grand Finalist for the MISS TOP MODEL UK event, and not before. Cheque payments will not be banked unless the Short-Listed Entrant is subsequently selected for the Grand Final. Should a short-listed entrant not be subsequently selected, the sponsorship cheque will be returned to them. The Entrant will provide MISS TOP MODEL with the contact details, contact name and receipt address of their Sponsor. Failure of a Short-Listed Entrant to present their payment for sponsorship, or of the Entrant to secure Sponsorship, will result in the next short-listed Grand Finalist being offered the place and the offer of a place to the original Entrant into the MISS TOP MODEL UK Grand Final being withdrawn. Sponsorship payments are non refundable, once qualification for a Grand Final place has been confirmed in writing, by post or e-mail, by the event Organisers.
- 3.3 - It is the Entrant’s responsibility to provide the Sponsor’s contact details and a contact name for sending a receipt to the Sponsor, which will be undertaken, direct with the Sponsor by MISS TOP MODEL. For purposes of misrepresentation and to protect the Entrant, the event organisers must be kept informed of an entrants sponsorship progress at all times.
4. ENTRANT OBLIGATIONS & COMMITMENTS:
- 4.1 - The Entrant, if accepted for the Grand Final event, agrees to fulfill a minimum of ONE media related or pre-show event commitment as required by the MISS TOP MODEL UK event Organisers. Any such events will be advised to the Entrant with a minimum of 7 days notice, where possible. Entrants are advised that any such requests should be taken with the utmost attempt at commitment as all such requests will relate to the increased profile of the Entrant and their participation in the MISS TOP MODEL UK event.
- 4.2 - The Entrant, if accepted for the Grand Final event, agrees to be available for the entire day of the MISS TOP MODEL UK Grand Final event for rehearsals, make-up and styling, dressing, conference, etc, with relevant times to be advised with a minimum of 7 days notice beforehand.
- 4.3 - The Entrant, if accepted for the Grand Final event, agrees to provide the three or four outfits that the Entrant will use to participate in the MISS TOP MODEL UK Grand Final, unless alternative arrangements are made by MISS TOP MODEL for Sponsored clothing by a third party, or parties.
- 4.4 - The Entrant, if accepted for the MISS TOP MODEL UK Grand Final, agrees to the purchasing/selling of a minimum of 4 standard show tickets to any family members, supporters or third parties, in order to provide a minimum level of support for each finalist and a fair level of support for each model entrant. Additional tickets can be purchased, if required, and all Grand Finalists show tickets can be upgraded to VIP for a small additional charge.
- 4.5 - For Television & General Media purposes, the Entrant, if accepted for the Grand Final event, agrees that any images of the Entrant submitted as part of the Entrant’s application, or any images produced in relation to the event or associated events, may be used by the Organisers in any way deemed fit for promotional, public relations, publication or any other such usage. In agreeing, the Entrant waives all rights to copyright claims or claims of intellectual property rights for a period of 24 (twenty four) months.
5. RIGHTS AND PROMOTIONAL ARRANGEMENTS:
- 5.1 - All Entrants acknowledge that all rights in MISS TOP MODEL UK are vested in the Organiser.
- 5.2 - All Entrants agree and accept that the MISS TOP MODEL organisation will have the right to negotiate primary and exclusive publishing deals on behalf of all the Grand Finalists for the 12 months following the event and retain any such income generated from these activities. A royalty of 15% commission of any profits will be paid to a featured Grand Finalist, where applicable.
- 5.3 - The MISS TOP MODEL UK organisation will have the right to negotiate & provide up to 3 exclusive commercial deals on behalf of Miss Top Model UK for which it will charge 30% of the gross revenue received for such activities.
- 5.4 - The winner of MISS TOP MODEL UK shall make herself available and provide her services (including but not limited to personal appearances and imagery), at the request of the Organiser, for the subsequent Final of MISS TOP MODEL UK and all other engagements or roles arranged by or supported by the Organiser or their agent(s) free of charge.
- 5.5 - All prizes awarded to Winners or runners up may be substituted and replaced by the Organiser at any time prior to the result being known and all prizes once awarded are strictly non-exchangeable.
- 5.6 - Entrants agree to be photographed and/or filmed (in any media) during the audition, any related events and the Final, and with any Sponsors, venue operators and the Organiser and all rights to any photographs, videos, films or other media of the Entrants (including MISS TOP MODEL UK and any runners-up) shall vest in the Organiser and each Entrant grants the Organiser full authority and licence to use all such material without requiring any further consents.
- 5.7 - All Entrants agree to provide interviews with the press or other media when requested to do so by the Organiser and undertake not to make any criticism or disparaging comments about the Organiser, associates of the Organiser, any related third parties, the auditions or Grand Final venue, or any Sponsors.
- 5.8 - The Winner will not accept or undertake any pornographic or nude assignments, paid or not, during her reign as MISS TOP MODEL UK. If for any reason the winner does undertake any pornographic or fully nude assignments during her reign, 50% of any remuneration received or due, as a result of topless or fully nude assignments, will become payable and due to MISS TOP MODEL as recompense for perceived damages to the brand and events name.
- 5.9 - If the winner of the competition wishes to work with another media and publicity organisation other than the official media partner, MISS TOP MODEL must be made aware of the contract with the other media and the official media partner must be given first refusal of the work. If the official media partner does not match the offer given by another media entity, then the winner is free to progress with a levy of 20% commission payable to the Organisers.
- 5.10 - The Entrant agrees that the MISS TOP MODEL organisation can use photographs, film and video footage and voice recordings that are sent to the Organisers (including those that form part of any entry package) or that the Organisers may make/take of the Entrant without restriction throughout the world. MISS TOP MODEL may use these photographs in its own media products and in other media products, including but not restricted to its media partner, not owned or run by the MISS TOP MODEL organisation. The Entrant waives all moral rights in the work they do for the media partner and give them all the consent that they need to exploit these items without limitation so far as possible.
6. GRAND FINALISTS APPENDIX:
- 6.1 Obligations and commitments
- 6.1.1 - All Grand Finalists must make every effort to attend any scheduled photo shoots pertaining to the competition prior to the Miss Top Model UK 2009 Grand Final. The Organisers do-not expect Grand Finalists to attend all events due to the geographical nature of Miss Top Model UK but a willingness of effort should be displayed.
- 6.1.2 - All Grand Finalists must make every effort to attend any scheduled interviews, press conferences, fittings, etc, that pertain to the Miss Top Model UK 2009 Grand Final.
- 6.1.3 - All Grand Finalists must make every effort to attend the after-party after the Grand Final, if one takes place.
- 6.1.4 - Any Grand Finalist, if placed or in receipt of any Miss Top Model UK 2009 award, must make every effort to attend any post competition events.
- 6.1.5 - All Grand Finalists must arrive on time for any rehearsals, photo shoots and the Grand Final as stated on any information provided to the model.
- 6.1.6 - All Grand Finalists cannot participate in any model or beauty pageants without the consent of Miss Top Model UK up until the Miss Top Model UK 2009 Grand Final.
- 6.1.7 - All Grand Finalists agree to have pictures taken with sponsors and VIP supporters, up to and including the date of the Miss Top Model UK 2009 Grand Final.
- 6.1.8 - All Grand Finalists agree that make-up, hair styling, etc, will be assigned and provided by Miss Top Model UK 2008 and that the Grand Finalist is bound to follow the guidance of the stylist without complaint and wear all clothes and accessories allocated, whether provided by Miss Top Model UK 2009 or the Grand Finalist’s own.
6.2 Winner & award recipient’s obligations & comments
The Miss Top Model UK 2009 Winner and Award recipients (placed or otherwise) agree to be bound by the following;
- 6.2.1 - The Winner of Miss Top Model UK 2009 agrees to be the face of Miss Top Model UK 2009 and will participate in all fashion shows and fashion shoots that Miss Top Model UK deems appropriate over the year 2009/2010.
- 6.2.2 - The Winner of Miss Top Model UK 2009 agrees to participate in all promotional shoots with sponsors and supporters of the competition.
- 6.2.3 - The Winner of Miss Top Model UK 2009 agrees to fulfill all of her obligations in relation to prizes offered and awarded as part of her winning Miss Top Model UK 2009.
- 6.2.4 - The Winner of Miss Top Model UK 2009 agrees not to do anything that will discredit the name of Miss Top Model UK, and its sponsors or associates, whist she is the reigning Miss Top Model UK 2009, such matters being at the discretion of Miss Top Model UK and its sponsors or associates.
- 6.2.5 - The Winner of Miss Top Model UK 2009 agrees to attend the 2010 Grand Final to hand over her crown to the new winner.
- 6.2.6 - The Grand Finalist agrees and confirms that by signing these Entry Terms & Conditions that she is not bound or legally tied into any type of management agreement or has personal exclusive representation with a Manager, Agent or Model Agency not associated with the Miss Top Model UK 2009 event.
- 6.2.7 - In addition to any prizes on offer, the Winner & three (3) Runners Up of Miss Top Model UK 2009 agree to sign a twelve (12) month Personal Management Agreement with Impact Model Management and cannot sign a similar type of contract with another Manager, Agent or Model Agency without prior written consent. The terms and conditions stipulated in the Personal Management Agreement will supersede any other agreements or contracts that may already be in existence. The aforementioned Personal Management Agreement is in addition to the Model Contract offered to the Winner and 1st Runner-up of Miss Top Model UK 2009 by Impact Model Management. All related matters are undertaken at the discretion of Impact Model Management.
- 6.2.8 - The MISS TOP MODEL organisation retains the right to remove the MISS TOP MODEL UK 2009 title from the winner, or any other prizes from any other prize recipient, if in the opinion of the MISS TOP MODEL organisation the said recipient brings the name of the organisation or title in to disrepute or does not fulfill her agreed obligations as set out in the Appendix herein and in the Full Terms & Conditions of Entry. In such circumstances, all prizes will be revoked and become returnable within 7 (seven) days. Any costs or losses incurred in such matters will be the full liability of the individual Grand Finalist involved.
6.3 Liabilities
- 6.3.1 - Whilst every care will be taken in respect of advertising, copy, artwork and any other items belonging to the Grand Finalist, Miss Top Model UK 2009, Impact Model Management, its owners, employees, staff, associates or representatives cannot accept any liability for the loss, damage, theft, delay in delivery thereof, whether on or off Miss Top Model or Impact Model Management principle trading premises or at any Miss Top Model associated venue, and the Grand Finalist is responsible for arranging any insurance or security arrangements deemed necessary for the adequate protection of such items and the Grand Finalists personal liabilities.
- 6.3.2 - Whilst every care is taken in the preparation of published information, Miss Top Model UK 2009, Impact Model Management, its owners, employees, staff, associates or representatives shall not be liable for any errors or omissions in any of its published material, and may make operational and other changes to any elements of the items published or mentioned to the Grand Finalist as it sees fit.
- 6.3.3 - The Organiser will not be responsible for any injury to any Grand Finalist, guest, helper or supporter or loss or damage to any of their property that might occur, whether at a related event or the Grand Final.
- In accepting these terms & Conditions the Grand Finalist hereby acknowledges that, if selected to participate in the Grand Final of the Miss Top Model UK 2009 event, the Grand Finalist will attend all related events, as and when required, and is doing so of her own free will. The Grand Finalist is attending the aforementioned as a Miss Top Model UK 2009 competition entrant who has been subsequently short-listed and then selected as a Miss Top Model UK 2009 Grand Finalist.
- The Grand Finalist fully understands and accepts that, when participating in the aforementioned, she is fully liable for her own personal safety and liabilities, insurance, actions and well-being, and any consequences or results of the Grand Finalists participation and actions, directly or indirectly, including loss, damage or injury to herself and/or third parties, are the Grand Finalists own personal liability and responsibility, without redress, in any form, to Miss Top Model, Miss Top Model UK 2009, Impact Model Management, its owners, employees, staff, associates or representatives.
- The Grand Finalist fully understands that any personal belongings or possessions are carried entirely at her own risk and she will take every due care and attention to safeguard such and, in doing so, consider and protect the well-being, safety and security of those around her, without redress, in any form, to Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives.
- 6.3.4 - The Grand Finalist has secured their own Sponsorship to the value of £150 sterling for their place in the Miss Top Model UK 2009 Grand Final, through one of the following; groups of friends, individuals, family, a professional organisation, company, corporate or local business Sponsorship, or by self sponsorship. Sponsorship is paid on the understanding that the agreed sum constitutes the funding of the individual Grand Finalist’s place costs and is non-refundable. In circumstances where a Grand Finalist withdraws, for whatever reason, the sponsorship is non-refundable, unless the event Organisers find a suitable replacement, at which time the sponsorship becomes refundable less 50% of the original amount to reimburse for any related costs incurred. The sponsorship is fully non-refundable should a Grand Finalist be expelled from the Grand Final, at any time by the event Organisers, for whatever reason. Any subsequent re-dress is between the Grand Finalist and Sponsor.
- 6.3.5 - Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives shall not be liable in any way whatsoever, or however arising from any loss of business or profit or other consequential loss of the Grand Finalist or any of its agents.
- 6.3.6 - If, for any reason, the Grand Finalist reneges on the Terms and Conditions of Entry prior to the scheduled date of the Grand Final event and thereafter, the Grand Finalist and Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives may agree upon a suitable arrangement whereby the model will work with Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives to reach an amicable compensation.
- 6.3.7 - Dates and/or venues for the Miss Top Model UK 2009 Grand Final and any associated events may be changed or amended by the Organiser at any time. In such circumstances no compensation or liability will be held on the part of the Organiser, except in the matter where event tickets have been purchased, in such circumstances the maximum compensation liability will be limited to ticket validity of equal value for any new or subsequent date and/or venue. No refunds will be given.
- 6.3.8 - Miss Top Model UK 2009, Impact Model Management, its owners, employees, staff, associates or representatives shall not be liable for any failure to perform its obligations under this Agreement where such failure results from circumstances beyond the Organisers reasonable control and shall not be liable to the Grand Finalist for any loss of profit, financial loss, depletion of goodwill or any indirect loss, damage, costs or expenses whatsoever which arise as a result of any cancellation or re-scheduling of any event caused by Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives, which was previously to be held on a scheduled date.
6.4 Model Release Form
- 6.4.1 - If selected as a Miss Top Model UK 2009 Grand Finalist, I grant to Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives the absolute and irrevocable right and unrestricted permission in respect of my image and/or voice and/or words in video, film, computer generated presentations referred to as digital resources as well as photographic portraits or pictures that have been taken of me in which I may be included with others, to copyright the same, in their own name or otherwise; to use re-use, publish, and re-publish the same in whole or in part, individually or in any and all media now or hereafter known, and for any purpose whatsoever, for illustration, promotion, art, editorial, advertising and trade, or any other purpose whatsoever without restriction as to alteration; and to use my name in connection therewith if they so choose.
- 6.4.2 - I hereby waive any so called “moral rights of authors” if I am used in video or film programming and such rights under section 77 and section 80 of the Copyright Designs and Patents Act 1988 (“the act”) as I now have or hereafter acquire in relation to the filming and I hereby grant Miss Top Model UK 2008, Impact Model Management, its owners, employees, staff, associates or representatives consent under Part II of the Act to enable Miss Top Model UK 2008, Impact Model Management, its owners, employees, staff, associates or representatives to make the fullest possible use of my services hereunder.
- 6.4.3 - Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives may without my further consent use my name, likeness, biography, photographs of me and recordings of interviews with me in advertising, publicity and on the Internet. I hereby release and discharge Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives from any and all claims and demands arising out of or in connection with the use of any films, photographs, including without limitation any and all claims for libel or invasion of privacy.
- 6.4.4 - Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives shall not be held liable to me or my legal representatives for any loss or damage or injury to me or my property caused or suffered in connection with Miss Top Model UK 2009, Impact Model Management, its owners, employees, staff, associates or representatives making use of my image and/or voice and/or words in video, computer generated presentations referred to as digital resources as well as photographic portraits or pictures that have been taken of me in which I may be included with others.
- 6.4.5 - This authorisation and release shall also inure to the benefit of the heirs, legal representatives, licensees, and assigns of Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives, as well as the person(s) for whom the photographs were taken.
- 6.4.6 - This agreement shall be freely assignable by Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives. The Courts of England have sole jurisdiction in relation to the terms and conditions of this Model Release Form, which shall be interpreted according to the laws of England.
7. GENERAL:
- 7.1 - The Organiser may amend any of these Regulations at any time.
- 7.2 - Dates of any audition, event and/or the Final may be changed by the Organisers at any time.
- 7.3 - The Organiser will not be responsible for any injury to any Entrant or Supporter or loss or damage to any of their property that might occur during the Contest whether at any audition, event or the Final.
- 7.4 - All matters relating to the Contest shall be determined by the Judges appointed by the Organiser in relation to pre-selection, any pre-agreed audition and the Grand Final. The Judges’ decision as announced shall be final and neither the Judges nor the Organiser will enter into any correspondence with any Entrant or any Supporter in relation to the Contest.
- 7.5 - The pre-selection judging panel will oversee the judging process for selection of the Grand Final participants and their decisions will be final. Not withstanding events where such is unavoidable or not possible, no more than 50% of the pre-selection judging panel will be a member of the judging panel for the Grand Final event.
- 7.6 - The MISS TOP MODEL organisation will have the right to remove the MISS TOP MODEL UK title from the winner if in the sole opinion of the MISS TOP MODEL organisation, the winner brings the name of the organisation in to disrepute. Any breach of rule 5.8 will be regarded as bringing the name of the organisation in to disrepute.
- 7.7 - It is the Grand Finalist responsibility to inform all related third parties of any conditions within these Terms & Conditions that may relate to them, and any subsequent matters or disputes in respect of such shall be undertaken between the said Grand Finalist and any such third parties, without redress to Miss Top Model, Impact Model Management, its owners, employees, staff, associates or representatives.
For the purposes of these Terms & Conditions:
- "Entrant" who completes and submits an Entry Form.
- "Finalist" or "Grand Finalist" who completes and submits an Entry Form, and is accepted for the MISS TOP MODEL UK Grand Final.
- "Contest" means the MISS TOP MODEL UK Contest.
- "Supporter" means any member of the family of an Entrant or other person accompanying or supporting an Entrant at any audition or Final.
- "Audition" means any of the events arranged by the Organiser.
- "Final" means the final of MISS TOP MODEL UK to be held at a final venue to be confirmed.
- "Organiser" or "Organisation" means MISS TOP MODEL UK / MISS TOP MODEL / MISS TOP MODEL Limited or any of its subsidiaries or associated companies.
- "Winner" or "MISS TOP MODEL UK" means the Entrant placed first in the Final.
PLEASE BE AS ACCURATE AS POSSIBLE WITH THE COMPLETION OF ALL OF THE INFORMATION CONTAINED IN THE ENTRY FORM AS DETAILS AND MEASUREMENTS WILL BE CHECKED AT A LATER STAGE. FAILURE TO DISCLOSE ACCURATE INFORMATION WILL/MAY RESULT IN EXPULSION FROM THE MISS TOP MODEL UK EVENT, WITHOUT REDRESS.
MISS TOP MODEL REGULATES A STRICT DATA PROTECTION POLICY AND NEVER SHARES INFORMATION WITH THIRD PARTIES WITHOUT THE CONSENT OF THE INDIVIDUALS OR PARTIES CONCERNED.
By entering the MISS TOP MODEL UK event, the Entrant will have read and understood the Full Terms & Conditions of entry for the MISS TOP MODEL UK event and agree to be bound by the said Terms & Conditions. All Entrants confirm their acceptance of these FULL TERMS & CONDITIONS by signing and dating the Entry Form. If Under 16 at the time of signing, a parent or guardian should also sign.
